RESOLUTION ACKNOWLEDGING A CHANGE OF UNITED ARTISTS COMMUNICATION, INC., THE PARENT COMPANY OF EAST ARKANSAS CABLEVISION, INC. (GRANTEE)

WHEREAS, East Arkansas Cablevision, Inc. is the Grantee of the cable television system serving the community of Jonesboro, Arkansas, pursuant to the City of Jonesboro Ordinance No. 1919;
WHEREAS, East Arkansas Cablevision, Inc. is a wholly owned indirect subsidiary of United Artists Communications, Inc.;
WHEREAS, Tele-Communications, Inc., through its indirect subsidiary, TCI UA, Inc. desires to buy at least 51% of the issued and outstanding stock of United Artists Communications, Inc.;
WHEREAS, the City of Jonesboro has been notified of and has been asked to acknowledge this transaction and the chance of control of United Artists Communications, Inc. that results there from;
WHEREAS, all rights and privileges and all the obligations duties and liabilities created by this franchise shall pass to and be binding upon the successors of the City and the successors and assigns of grantee;
NOW, THEREFORE, the City of Jonesboro, having been duly notified of the acquisition of at least a majority of the outstanding stock of United Artists Communications by TCI UA, Inc., hereby acknowledges the resulting change of control of East Arkansas Cablevision, Inc.’s parent corporation, United Artists Communications, Inc.
