RESOLUTION TO APPOINT CHASE MANHATTAN TRUST COMPANY AS SUCCESSOR SERVICE PROVIDER RELATING TO THE HYTROL CONVEYOR CO. INDUSTRIAL DEVELOPMENT REVENUE BONDS PROJECT

WHEREAS, First Tennessee Bank National Assn. Has been serving as trustee, registrar, paying agent, escrow trustee, escrow agent, custodian and other similar positions relating to the City of Jonesboro, Arkansas Industrial Development Revenue Bonds, Series 1992 A (Hytrol Conveyor Co. Project), Account No. 8002200 and;

WHEREAS, First Tennessee Bank desires to resign as service provider according to the terms of an agreement attached hereto and substitute Chase Manhattan Trust Company as successor service, all to be effective as of the date of the executed Agreement.

NOW THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF JONESBORO, ARKANSAS THAT:

1.      Chase Manhattan Trust Company, National Association, upon the execution of the Agreement, shall hereby be appointed as Successor service provider pursuant to the Governing Instrument relating to the City of Jonesboro, Arkansas Industrial Development Revenue Bonds, Series 1992 A (Hytrol Conveyer Co., Project, Account No. 8002200.

2.      This resolution shall take effect immediately.
