AN ORDINANCE AUTHORIZING THE TRANSFER AND EXCHANGE OF REAL ESTATE BY AND BETWEEN THE CITY OF JONESBORO AND ST. BERNARD'S HOSPITAL, INC.

WHEREAS, the City of Jonesboro, Arkansas, ("City") is authorized to acquire, transfer and sell real estate and to undertake all acts incidental to the conveyance thereof; and
 
WHEREAS, negotiations have been concluded with St. Bernard's Hospital, Inc., an Arkansas corporation, ("St. Bernard's") for the exchange of parcels of real estate in the City of Jonesboro owned by the City and St. Bernard's; and
 
WHEREAS, the transfer and exchange of properties as proposed is in the best interest of the City and will enable the City to acquire property which may be retained for present and future parking needs;
 
NOW, THEREFORE, BE IT ORDAINED by the City Council of the City of Jonesboro, Arkansas:
 
Section 1: That there be and is hereby authorized and directed an exchange and transfer of real estate presently owned by the City to St. Bernard's, said real estate being described as:
 
Lots 18, 19, 20 and 21 of Cobb's survey, of the Southwest Quarter of Section 18, Township 14 North, Range 4 East, in Jonesboro, Arkansas.
 
Section 2: That there be and is hereby authorized and directed an exchange and transfer of real estate presently owned by St. Bernard's to the City, said real estate being described as:
 
Lots 16 and 17 of Cobb's survey, of the Southwest Quarter of Section 18, Township14 North, Range 4 East, Jonesboro, Arkansas.
 
All buildings and fixtures, including underground storage tanks, now located on the property described in this Section will be removed by St. Bernard's at its expense prior to the exchange of the properties herein approved. This property is designated for use as a public parking area and is to be used exclusively for this purpose.
 
Section 3: That there be and is hereby authorized and directed a sale and transfer of real estate presently owned by the City to St. Bernard's said real estate being described as:
 
Lots 4, 5, 6 and 7 of Cobb's survey of the Southwest Quarter of Section 18, Township 14 North, Range 4 East, Jonesboro, Arkansas.
 
St. Bernard's agrees to pay the City the sum of One Hundred Twenty Six Thousand Dollars ($126,500.00) as the purchase price of the real estate described in this section.
 
Section 4: That the Mayor and City Clerk for and on behalf of the City be and are hereby authorized and directed to do any and all things necessary to effects the conveyance and exchange and transfer of real estate herein described and the performance of all other acts of whatever nature necessary to effect and carry out the authority conferred by this Ordinance.
 
Section 5: That the Mayor and City Clerk be and are hereby further authorized and directed for and on behalf of the City to execute all papers, documents, certificates and any other instruments that may be required for the carrying out of such authority or to evidence the execution thereof.
 
Section 6: That all ordinances, resolutions and parts thereof, in conflict herewith, are hereby repealed to the extent of such conflict.
 
Section 7: That there is hereby found and declared to be an immediate need for the securing and development of substantial industrial operations to provide additional employment and otherwise benefit the City and the public. It is, therefore, declared that an emergency exists, and that this Ordinance shall be in force and effect immediately upon and after its passage.
